# NON-CIRCUMVENTION, NON-DISCLOSURE & WORKING AGREEMENT (NCNDA)

## Parties
This Agreement is entered into by and between the undersigned parties and their affiliates, forming part of the transaction chain for the commodity described below:

## 1. Non-Circumvention
Each party undertakes not to, directly or indirectly, circumvent, avoid, bypass, or obviate the interest of any other party, or attempt to deal directly with any contact, buyer, seller, supplier, bank, or source introduced through this transaction, without the prior written consent of the introducing party, for a period of **`[5]` years** from the date of this Agreement.

## 2. Non-Disclosure
Each party shall keep confidential all names, contacts, banking details, pricing, terms, and business information disclosed under this transaction, and shall not disclose them to any third party without prior written consent.

## 3. Term
This Agreement remains in force for `[5]` years and applies to the initial transaction plus all renewals, extensions, rollovers, additions, and new contracts arising between the parties.

## 4. Fee Protection (IMFPA)
The agreed intermediary/commission fees below are irrevocably assigned and shall be paid by the Seller/Paymaster by MT103 wire, pro-rata to each shipment, simultaneously with payment for the goods, on the total shipped quantity.

## 5. Governing Law & Arbitration
